arqu SLT provides a cloud-based platform for surplus lines insurance compliance, including:

• Policy Data Extraction: AI-powered extraction of data from insurance policy documents.
• Tax Calculation: Automated calculation of surplus lines taxes and fees for multiple jurisdictions.
• Document Generation: Creation of filing-ready documents including SLIP+, SLTX, and state-specific forms.
• Compliance Management: Tools to track filing deadlines, review policies, and maintain audit trails.

3.1 Account Creation

To use our services, you must create an account by providing accurate and complete information. You are responsible for maintaining the accuracy of your account information.

3.2 Account Security

You are responsible for safeguarding your account credentials and for all activities that occur under your account. You must immediately notify us of any unauthorized access or use of your account.

3.3 Account Eligibility

You must be at least 18 years old and have the legal capacity to enter into these Terms. Our services are intended for licensed insurance professionals and entities.

4.1 Acceptable Use

You agree to use our services only for lawful purposes and in accordance with these Terms. You agree not to:

• Use the services for any illegal or unauthorized purpose.
• Violate any laws in your jurisdiction or the jurisdiction of policyholders.
• Upload or transmit viruses, malware, or other harmful code.

5.2 Billing

Subscriptions are billed in advance on a monthly or annual basis. You authorize us to charge your payment method for all fees associated with your subscription.

We may modify our pricing at any time. Price changes will be effective upon renewal of your subscription. We will provide at least 30 days' notice of price increases.

5.4 Refunds

arqu SLT, including its design, features, software, and content, is owned byArqu Technologies, Inc. and protected by copyright, trademark, and other intellectual property laws. We grant you a limited, non-exclusive, non-transferable license to use our services in accordance with these Terms.

6.2 Your Content

You retain ownership of all data and content you upload to our services ("Your Content"). You grant us a limited license to process, store, and display Your Content solely to provide our services.

6.3 Feedback

If you provide feedback, suggestions, or ideas about our services, you grant us the right to use such feedback without compensation or attribution.

7.1 Service Availability

Our services are provided "as is" and "as available" without warranties of any kind, either express or implied. We do not guarantee that our services will be uninterrupted, secure, or error-free.

7.2 Accuracy of Information

While we strive to provide accurate tax calculations and data extraction, we do not guarantee the accuracy, completeness, or reliability of any information generated by our services. You are responsible for verifying all information before filing.

7.3 Not Legal or Tax Advice

arqu SLT is a technology tool and does not provide legal, tax, or professional advice. You should consult qualified professionals for specific compliance questions. Our services do not replace the judgment of licensed insurance professionals.

7.4 Third-Party Services

Our services may integrate with third-party services. We are not responsible for the availability, accuracy, or practices of third-party services.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ARQU TECHNOLOGIES, INC. SHALL NOT BE LIABLE FOR:

• Any indirect, incidental, special, consequential, or punitive damages.
• Loss of profits, revenue, data, or business opportunities.
• Errors in tax calculations or data extraction.
• Penalties, fines, or interest resulting from late or incorrect filings.
• Any damages arising from your use or inability to use our services.

Our total liability for all claims related to our services shall not exceed the amount you paid for our services in the twelve (12) months preceding the claim.

You agree to indemnify, defend, and hold harmless Arqu Technologies, Inc., its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including attorneys' fees) arising from:

• Your use of our services.
• Your violation of these Terms.
• Your violation of any applicable laws or regulations.
• Any content you upload or transmit through our services.
• Any claim that Your Content infringes third-party rights.

10.1 Termination by You

You may cancel your subscription at any time through your account settings. Cancellation will be effective at the end of your current billing period.

10.2 Termination by Us

We may suspend or terminate your account at any time for violation of these Terms, non-payment, or for any other reason at our sole discretion. We will provide notice when reasonably possible.

10.3 Effect of Termination

Upon termination, your right to use our services will immediately cease. You may export your data within 30 days of termination. After this period, your data will be deleted in accordance with our Privacy Policy.

11.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions.

11.2 Arbitration

Any dispute arising out of or relating to these Terms or our services shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall be conducted in Delaware.

11.3 Class Action Waiver

You agree to resolve disputes with us on an individual basis and waive any right to participate in class actions or class arbitration.

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website and updating the "Last updated" date. Your continued use of our services after changes constitutes acceptance of the modified Terms.
